Code of Conduct

Genzyme’s Code of Conduct expresses the fundamental principles underlying the company's dedication to high ethical standards in the conduct of its business.

This Code formally states our commitment, as a company and as individuals, to conduct our business in conformity with appropriate legal and ethical standards. This commitment supplements our dedication to overall excellence in the way we develop and deliver our products and services. The Code expresses our common understanding of what we at Genzyme mean when we talk about a set of fundamental principles for the conduct of our business.

Each Genzyme employee is expected to comply with the spirit as well as the letter of this Code.

We expect Genzyme employees, officers and directors to promptly report suspected violations of our Code of Conduct. Reports of violations, including those from outside the company, may be made on an anonymous basis via Genzyme’s Business Compliance Help Line. The Business Compliance Help Line is available 24 hours a day, seven days a week and can be reached at (800) 644 9665.

On May 22, 2008, Genzyme’s Board of Directors approved an amendment and restatement of Genzyme’s Code of Conduct. The amended Code became effective on May 22, 2008.

The main purpose for amending the Code was to enhance and clarify certain sections. Among other things, the amended Code includes changes made to better reflect Genzyme’s role as an international enterprise; clarifies the processes for reporting issues or concerns; provides additional detail regarding compliance with laws and regulations applicable to the healthcare industry; expands the provisions regarding protection of confidential information and privacy; and makes various other changes to update information or improve the readability and clarity of the Code.
